── Common Terms (worldwide) ──
1. License: We ([Company]) grant a non-exclusive, non-transferable right to use the Software. Except as permitted by law, redistribution, modification and reverse engineering are prohibited.
2. Fees, Auto-renewal, Cancellation, Refunds: Paid plans are billed as displayed and auto-renew for the selected cycle until cancelled; the registered payment method is charged on each renewal date (via providers such as Stripe). Next renewal date and amount are notified in advance. As a digital service, fees are non-refundable in principle, except where a statutory withdrawal/cooling-off right applies in your jurisdiction.
3. Prohibited Uses/Businesses: No unlawful use, infringement, or interference, and no use for controlled substances, weapons, illegal adult content, unlicensed gambling/financial services, counterfeits, IP infringement, money laundering, or sanctioned transactions.
4. AI/BYOK, IP, Warranty, Liability: AI features use your own API key (BYOK); we do not warrant AI output. IP in the Software is ours. The Software is provided "as is" with no warranty except as non-disclaimable by law. Our liability is capped at fees paid in the last 12 months; indirect damages excluded.
5. Privacy: Personal data is handled under our separate Privacy Policy; we comply with applicable data-protection laws.
6. Export Control/Sanctions: The Software is subject to US (OFAC/EAR), EU, UN and Japan export controls and sanctions and is not provided to sanctioned countries, regions or persons.
7. Governing Law/Jurisdiction: These Terms are governed by the laws of Japan, with the Tokyo District Court as the exclusive court of first instance; proceedings take place in Japan. However, consumers retain the protection of the non-waivable mandatory consumer- and data-protection laws of their country of habitual residence.
8. Changes/Contact: We may amend these Terms with advance notice of material changes. Company name, address and contact email are posted separately.

[United States] State privacy laws may apply (e.g., California CCPA/CPRA): rights to know, delete, and opt out of sale/sharing. Implied warranties are disclaimed as permitted; users must comply with EAR and OFAC sanctions.

Pricing: Personal plan: US$5 / month; Corporate plan: US$50 / month (converted to your displayed currency at the prevailing FX rate). Cloud-AI API usage is metered separately by your own provider (BYOK).
Refund / Cancellation: Digital service: non-refundable in principle. You may cancel anytime; cancellation stops the next renewal and access continues until the end of the paid period. Where a statutory withdrawal/cooling-off right applies in your jurisdiction, it prevails.
